Lauren Glesby Mahan

Mrs. Mahan joined the firm in 2016 with a broad commercial transactional background, but an emphasis on real estate, title, franchising and licensing, business acquisitions, finance and loan agreements, and corporate law, governance, and compliance. Prior to joining the firm, she served as Assistant General Counsel of Sun Holdings, Inc., the fourth largest restaurant franchise operator in the United States with more than 700 locations and 12,000 employees. Mrs. Mahan is a licensed escrow officer for American Title Company and is an authorized closing attorney.
Real Estate Transactions: Mrs. Mahan has considerable experience in real estate transactions, including the acquisition, development, management, finance, and disposition of undeveloped land, restaurants, retail centers, and condominiums throughout Texas, Florida, and Oklahoma. She has drafted and negotiated hundreds of single and multiple parcel commercial real property purchase and sale contracts and commercial and residential leases. She has represented both landlords and tenants, and buyers and sellers.
Franchising & Licensing: Mrs. Mahan has represented franchisees and licensees of various nationally recognized brands in the restaurant and retail sectors, among them Burger King, Popeye’s, Krispy Kreme, Arby’s, Golden Corral, and T-Mobile. She has significant experience negotiating with franchisors to acquire new franchise rights, structure and manage development, remodel, and transfer agreements, as well as strategic openings and closures, and local marketing campaign participation.
Business Acquisitions: Mrs. Mahan has negotiated acquisitions of existing franchise and retailer operations, along with real estate and franchise rights, totaling more than 300 locations. She drafted purchase and sale agreements, conducted due diligence, and handled all other aspects of the transaction, such as obtaining landlords’ consents to lease assignments, analyzing assumed vendor contracts and assignments, and preparing hiring documents for new employees.
Finance & Loan Agreements: Mrs. Mahan has prepared and negotiated numerous financial documents related to the acquisition and disposition of real estate, commercial construction, and business operations, including due diligence and credit agreement review and negotiation. Notably, Mrs. Glesby assisted with securing a $250 million, nine-bank syndication loan collateralized by 150 parcels of real estate and 450 business locations.
Corporate Law, Governance, and Compliance: Mrs. Mahan has worked extensively in the area of corporate law, including various compliance matters such as the management of federal, state, and local regulatory investigations and violations, corporate formation and structure, ad valorem tax, and company franchise tax.
